This Intent Agreement (“Agreement”) is entered into by and between OWB, doing business as OnlineWaterBill (“OWB”), and the water association, utility, municipality, company, or organization identified below (“Association”).
This Agreement confirms the Association’s intent to proceed with onboarding for OnlineWaterBill and authorizes OWB to begin setup, configuration, implementation, and onboarding work for the Association.
The goal of onboarding is to prepare the Association to use OnlineWaterBill for some or all of its billing, payment, customer access, meter reading, mailing, communication, reporting, and related utility management needs.
The Association and OWB agree to work in good faith toward a target go live date within approximately of signing this Agreement.
The parties understand that this timeline is an estimate and may depend on several factors, including timely receipt of Association data, billing rules, payment processing setup, staff availability, testing, mailing preferences, customer communication needs, and final Association approval.
OWB does not guarantee a specific go live date unless separately agreed in writing.
At the time of signing this Agreement, the Association agrees to pay a setup and onboarding fee in the amount of:
This fee is due upon signing and authorizes OWB to begin onboarding work.
Unless otherwise stated in writing, the setup and onboarding fee covers initial setup, account configuration, data review, onboarding support, basic staff guidance, and preparation for launch.
The Association agrees that payment of the setup and onboarding fee is required before OWB is obligated to begin onboarding work.
Payment may be made by a method approved by OWB.
To support timely onboarding, the Association agrees to provide reasonable access to the information needed to configure and launch the OnlineWaterBill system. This may include, as applicable:
The Association understands that delays in providing requested information may delay the target go live date.
OWB agrees to make reasonable efforts to assist the Association with onboarding and preparation for launch. This may include, as applicable:
This Agreement covers onboarding and implementation only.
Once the Association begins active use of OnlineWaterBill, including use for billing, payment collection, customer access, meter reading, mailing, communication, reporting, or related services, the Association’s use of the platform will be governed by OWB’s applicable terms, including the OnlineWaterBill Service Agreement, SLA, privacy terms, payment processing terms, and any other applicable written terms or policies provided by OWB.
OWB does not charge the Association monthly, annual, or other recurring platform fees for use of OnlineWaterBill.
The setup and onboarding fee in Section 4 is a one-time charge. Unless otherwise stated in writing, it includes hosting, backups, onboarding support, basic staff guidance, and ongoing support as described in OWB’s Support Agreement & SLA.
When customers pay online, the OWB service fee and pass-through payment processing fees are paid by the customer, not the Association. Optional costs such as mailing may apply as described in OWB’s pricing and Service Agreement.
The Association is responsible for the accuracy and completeness of the data it provides to OWB.
OWB may assist with data review, formatting, importing, and setup, but the Association remains responsible for reviewing and approving customer records, balances, billing rules, rates, fees, and other account information before launch.
Either party may cancel onboarding before go live by providing written notice to the other party.
If the Association cancels after OWB has begun onboarding work, the setup and onboarding fee is non refundable unless OWB agrees otherwise in writing.
If OWB determines that it cannot reasonably support the Association’s onboarding needs, OWB may cancel this Agreement and may, at its discretion, refund all or part of the setup and onboarding fee.
OWB will make reasonable efforts to support onboarding and help the Association prepare for launch. However, OWB does not guarantee specific operational, financial, collection, customer adoption, or staff efficiency results.
OWB is an independent service provider. Nothing in this Agreement creates a partnership, joint venture, employment relationship, fiduciary relationship, or agency relationship between OWB and the Association.
The person signing below represents that they are authorized to sign this Agreement on behalf of the Association and authorize the setup and onboarding fee.
This Agreement represents the parties’ understanding regarding onboarding and implementation. It does not replace the OnlineWaterBill Service Agreement, SLA, payment processing terms, or other applicable terms governing active use of the platform.
